Supplemental Terms for Wyze Trade-In Program (BETA)

These Supplemental Terms (the “Trade-In Program Terms”) for the Wyze Trade-In Program (the “Trade-In Program”) are in addition to, and not in lieu of, your rights and obligations under the Wyze Terms of Service (the “Standard Terms”). For information about how we collect, use, share and otherwise process information about you, please see our Privacy Statement.

By participating in the Trade-In Program, you accept and agree to be bound by these Trade-In Program Terms and the Trade-In App Terms & Conditions of Tern Eco, Ltd, our Trade-In Program administrator, located at https://www.tern.eco/terms-and-conditions (the “Tern Service Terms”). If you do not agree to these Trade-In Program Terms and the Tern Service Terms, do not use or participate in the Trade-In Program. To the extent there is a conflict between these Trade-In Program Terms and the Standard Terms, these Trade-In Program Terms will govern such conflict. Capitalized terms used but not otherwise defined in these Trade-In Program Terms have meanings set forth in the Standard Terms. Wyze reserves the right to change or modify these Trade-In Program Terms, or terminate the Trade-In Program, at any time and in our sole discretion. If we make changes to these Trade-In Program Terms, we will provide notice of such changes (e.g., by providing a notice on our website or updating the “Updated” date above). Your continued participation in the Trade-In Program will confirm your acceptance of the revised Trade-In Program Terms and the Tern Service Terms. 1. ELIGIBILITY

In order to participate in the Trade-In Program, you must have purchased the Product you are interested in trading-in from www.wyze.com or an authorized retailer, and such Product must meet the eligibility requirements detailed on the Trade-In Program webpage and in the Tern Service Terms.

2. TRADE-IN OFFER AND PROCESS

The Trade-In Program webpage (the “Trade-In Website”) will display all Products (the “Used Products”) that may be eligible for trade-in with the Trade-In Program. The Trade-In Website will display a specific price for each individual Used Product (the “Offer Price”). If you would like to trade-in Used Products for the Offer Price in effect at that point in time, select the Used Products you want to trade-in on the Trade-In Website and follow the trade-in order process. The Offer Price is subject to change. If you elect to trade-in any Used Product following the process set out above, Wyze is under no obligation to confirm the trade-in, and any such confirmation is conditional on Wyze agreeing to trade-in at the Offer Price. If Wyze refuses to confirm the trade-in on that Used Product, you will be notified via an email. Once Wyze has received the Used Products and confirmed the trade-in, you will be sent a discount code (the “Discount Code”) equal to the aggregate Offer Price for Used Products you have elected to trade-in, less any Shipping Costs (as defined in Section 3 below). All Used Products you have elected to trade-in for the Offer Price, and Wyze has agreed to purchase pursuant to this Section 2, are deemed “Confirmed Items.” Wyze reserves the right to return any of the Confirmed Items to you and/or amend the aggregate Offer Price if the wrong items are returned, some items are missing, and/or the items are determined by Wyze, in its sole discretion, to be fraudulent.

3. SHIPPING OF CONFIRMED ITEMS

You may incur a cost for the shipping of your Confirmed Items to Wyze (the “Shipping Cost”). Any Shipping Cost will be deducted from the aggregate Offer Price. During the order process, and provided the aggregate Offer Price for your Confirmed Items is above any minimum threshold indicated on the Trade-In Webpage, you will be provided with shipping options for the relevant Confirmed Items. You must select one of the shipping options to be able to submit the order. For any shipping option selected, Wyze will not be responsible if Wyze does not receive your Confirmed Items and you will not be entitled to receive your Discount Code. You will be provided with a shipping label (“Shipping Label”) based on the shipping option you have selected during the order process. You must attach the Shipping Label to any packaging you place your Confirmed Items in (the “Package”) for return to Wyze. You are responsible for sourcing packaging materials for your Package. You must drop your Package off at an eligible drop-off location as instructed on the Trade-In Webpage or on the Shipping Label. We strongly recommend you obtain proof of shipping. You must return your Confirmed Items within fourteen (14) days of submitting your Order, or your Order will be canceled.

4. DISCOUNT CODES

Discount Codes will be in electronic form, and will be made available to you by email and through the “My Trade-Ins” section of the Trade-In Webpage. Discount Codes can only be used to offset the purchase price of items purchased on www.wyze.com. Discount Codes will be limited to one time use only. If your Discount Code is applied to a shopping cart value that is less than the value of the Discount Code, you will not be entitled to recover the residual Discount Code value. Discount Codes cannot be resold, transferred for value or redeemed for cash, except to the extent required by law. Unused Discount Code balances may not be transferred to another Wyze account.

5. SUSPENSION OR TERMINATION OR YOUR PARTICIPATION IN TRADE-IN PROGRAM

We reserve the right to suspend or terminate your ability to participate in the Trade-In Program if you violate these Trade-In Program Terms, the Tern Service Terms and/or our Standard Terms. We may also suspend, terminate or otherwise limit your access to the Trade-In Program, including your ability to redeem Discount Codes, if we suspect fraudulent, abusive or unlawful activity associated with your account and/or your use of the Trade-In Program.
